1. Agreement to Terms

By accessing or using ProjectPath.ai ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms apply to all users, including organization owners, administrators, and team members.

2. Description of Service

ProjectPath.ai is a project management and team collaboration platform that provides:

• AI-powered project planning, task management, and risk assessment
• Team collaboration analytics and psychometric-based pairing recommendations
• Integration with third-party services (Jira, Google Calendar, Google Drive, Microsoft OneDrive)
• Document management, budgeting tools, and Gantt chart visualization
• AI-assisted project pathfinding and chat-based project assistance

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use

You must be at least 18 years of age to create an account. By registering on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Organizations and Roles

ProjectPath.ai supports multi-user organizations with role-based access:

• Owners have full administrative control over organization settings, billing, and member management.
• Admins can manage projects, members, and integrations within the organization.
• Staff and Standard Members have access to assigned projects based on permissions set by Owners or Admins.

Organization Owners are responsible for managing member access and ensuring compliance with these Terms within their organization.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Upload malicious code, viruses, or harmful content
• Scrape, crawl, or use automated tools to extract data from the Service without authorization
• Share your account credentials with third parties
• Use the Service to store or transmit content that infringes intellectual property rights

6. AI-Powered Features

The Service uses artificial intelligence to generate project plans, task suggestions, team pairing recommendations, risk assessments, budget insights, and other content. You acknowledge that:

• AI-generated content is provided as suggestions and recommendations only
• AI outputs may contain inaccuracies and should be reviewed before acting upon them
• You are solely responsible for decisions made based on AI-generated content
• AI features may use project data you provide (task descriptions, team information, project details) to generate insights
• Psychometric data (working style profiles) is used to provide team collaboration recommendations and is handled in accordance with our Privacy Policy

7. Third-Party Integrations

The Service allows you to connect third-party accounts including Jira (Atlassian), Google Calendar, Google Drive, and Microsoft OneDrive. By connecting these services:

• You authorize ProjectPath.ai to access data from these services on your behalf using OAuth authentication
• You remain subject to the terms of service of each third-party provider
• ProjectPath.ai is not responsible for the availability, accuracy, or security of third-party services
• You may disconnect integrations at any time through your account settings
• Access tokens are encrypted and stored securely; however, you are responsible for maintaining valid credentials with third-party providers

8. Intellectual Property

Your Content: You retain ownership of all content you upload, create, or input into the Service (documents, tasks, project data, notes). By using the Service, you grant ProjectPath.ai a limited license to process, store, and display your content solely for the purpose of providing the Service.

Our Service: The Service, including its design, software, features, and branding, is owned by ProjectPath.ai and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

AI-Generated Content: Content generated by AI features within the Service (project plans, suggestions, insights) is provided for your use within the context of your projects. You may use this content freely in your work.

9. Data and Storage

• Documents uploaded to the Service are stored securely using cloud storage infrastructure.
• You are responsible for maintaining your own backups of critical data.
• Upon account deletion, your data will be removed in accordance with our Privacy Policy and applicable data retention requirements.

10. Subscription and Billing

• Certain features of the Service may require a paid subscription.
• Billing terms, pricing, and plan details are presented at the time of purchase and may be updated with notice.
• You are responsible for all charges incurred under your account.
• Refund policies will be specified in the applicable subscription agreement.

11. Service Availability

• We strive to maintain high availability but do not guarantee uninterrupted access to the Service.
• We may perform maintenance, updates, or modifications that temporarily affect availability.
• We reserve the right to modify, suspend, or discontinue any feature of the Service with reasonable notice.

12. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
• ProjectPath.ai shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total liability for any claim arising from these Terms shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless ProjectPath.ai, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Termination

• You may terminate your account at any time through your account settings.
• We may suspend or terminate your account for violation of these Terms, with or without notice.
• Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will remain in effect.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be resolved in the courts of competent jurisdiction.
